Implementation of Corporate Governance
The company actively promotes and implements sustainable governance by establishing relevant policies, management guidelines, and concrete implementation plans to enhance corporate sustainability value. To build a healthy and sound corporate governance culture in line with legal requirements, we have established various codes of conduct, such as the "Corporate Governance Best Practices" and "Sustainable Development Best Practices."
The dedicated personnel of the Corporate Social Responsibility Office consists of the top decision-making units responsible for implementation and promotion of corporate governance at Ability. On May 4, 2020, the BOD voted to appoint Ms. Huang, Mei-Lin as the head of corporate governance, reporting directly to the Chairman.
The authority and responsibilities of the head of corporate governance include:
- The Organize of BOD and shareholders' meetings in accordance with the law.
- Preparation of the minutes from BOD and shareholders' meetings.
- Assisting with the appointment and continued development of directors and supervisors.
- Providing directors and supervisors with the information they need to perform their duties.
- Assisting the directors and supervisors with compliance.
- Other matters as specified in the Company Charters or contracts, such as the TWSE governance evaluation.
